Terms and Conditions of Use
Tecnologías Avanzadas Centrales, S.A.P.I. de C.V.
Last updated: October 1, 2026
1. Acceptance
These Terms and Conditions (the “Terms”) govern access to, use of, and, where applicable, purchase of the technology products and services available through the platform commercially known as “KARVIA” (the “Platform”), operated by Tecnologías Avanzadas Centrales, S.A.P.I. de C.V. (“KARVIA”) (together, the “Services”).
This English text is a convenience translation for international readers. The Spanish terms at /terms are the controlling version for customers contracting under Mexican law.
These Terms apply to the individual or legal entity that contracts or uses the Services (the “Customer”) and, as applicable, to persons the Customer authorizes to use the Platform (“Authorized Users”).
If the Customer has signed a contract, Service Order, or other specific instrument with KARVIA (the “Specific Contract”), that instrument prevails on the matters it expressly regulates. If the Customer contracts through the website, store, or Platform, the relationship is governed by these Terms and by the plan or product conditions accepted at checkout.
By creating an account, purchasing a Service, or using the Platform, the Customer acknowledges access to these Terms and agrees to be bound by them. KARVIA’s privacy notice is available at karvia.mx/privacy.
If the Customer is a consumer, the Customer retains the non-waivable rights that apply under applicable law.
2. The Services
KARVIA offers a vehicle-management and intelligence platform to administer vehicles and fleets and to use tools related to their operation.
Depending on the contracted plan or product, the Services may include administration of vehicles, fleets, drivers, and users; telemetry and geolocation; alerts and Health Score; document and maintenance management; driving analysis; routes, reports, costs, and expenses; artificial-intelligence features; cameras and video events; integrations with third-party devices or systems; and access to tools or providers available through the Platform.
Each Customer has access only to the features included in its purchase. The presence of a feature on the website, in demos, or in commercial materials does not automatically include it in every plan.
KARVIA may update or improve the Platform for technological, operational, maintenance, or security reasons, seeking not to materially reduce essential features already contracted during the applicable period.
3. Registration, account, and use
Access to certain features requires an account. Persons who create or use an account must be of legal age and have sufficient legal capacity, or be authorized to act for the Customer.
The Customer is responsible for providing accurate information, administering Authorized User accounts, and protecting credentials and access mechanisms. The Customer must notify KARVIA within 24 hours after becoming aware of any unauthorized use or compromise of credentials.
KARVIA may suspend credentials when it reasonably determines they have been compromised, misused, or present a risk to the Platform.
The Customer and Authorized Users may not reverse-engineer, decompile, copy, or modify the Platform; resell or sublicense it; breach its security; use it to develop a product intended to substantially reproduce its features; introduce malicious content or code; or use it for unlawful purposes or to monitor persons or vehicles without the required authorizations.
During the Service term, KARVIA grants the Customer a limited, non-exclusive, non-transferable right, without sublicense, to use the contracted features.
4. Hardware and devices
Certain Services may require diagnostic, telemetry, camera, or other compatible hardware (“Devices”).
Devices may be sold to the Customer, placed temporarily at the Customer’s disposal as part of the Services, delivered free of charge as a loan (comodato) when so agreed, or provided by the Customer or by third parties.
Buying a Device does not transfer rights in the software, firmware, or technology used to provide the Services. Features that depend on an active subscription remain available only while that subscription is in force.
Devices sold by KARVIA have a 12-month warranty for manufacturing defects, without prejudice to rights under applicable law. The warranty does not cover damage from misuse, accidents, improper handling, modifications, or installation contrary to the applicable instructions.
If a Device remains KARVIA property, the Customer must keep it in good condition and return it under the conditions of the applicable purchase.
The Customer is responsible for obtaining the authorizations needed to install and use the Devices on the corresponding vehicles.
5. Copilot and artificial intelligence
The Platform may include assistants and other AI-based features that analyze available information to generate alerts, recommendations, summaries, maintenance plans, and other support tools.
Results depend on the information available and on the inherent limits of automated systems. They are not, by themselves, a mechanical diagnosis, technical or legal opinion, compliance certification, expert report, or warranty of a vehicle’s condition.
If a feature can execute an action and KARVIA has enabled a confirmation mechanism, the action runs only after an Authorized User confirms it.
The Customer is responsible for evaluating generated information before making decisions about vehicles, operations, or personnel.
6. Plans, payments, and subscriptions
KARVIA may offer free and paid plans, as well as hardware, modules, and additional features. Characteristics, prices, taxes, billing frequency, and other applicable conditions are shown to the Customer before the purchase is completed.
For automatically recurring charges, KARVIA will inform the amount, frequency, and charge date in advance and, for consumers, will obtain express informed consent.
If an automatic renewal applies to a consumer, KARVIA will notify the consumer at least 5 calendar days in advance and allow cancellation without penalty.
Payments may be processed by third parties. Financing or deferred-payment services offered by third parties are also subject to those parties’ own terms.
If amounts are overdue, KARVIA may suspend paid features until the debt is cured.
7. Intellectual property
KARVIA and its licensors retain their rights in the Platform and its components, including software, firmware, trademarks, designs, documentation, models, algorithms, interfaces, updates, and improvements.
Access to the Platform or purchase of hardware grants only the use rights expressly provided in these Terms and does not assign intellectual-property rights.
8. Availability, scope, and liability
KARVIA will use reasonable efforts to keep the Platform available; however, certain features depend on connectivity, vehicles, Devices, manufacturers, networks, technology providers, and other services outside KARVIA’s control.
Health Scores, alerts, predictions, analyses, camera events, and recommendations are informational support tools and do not guarantee detection of every possible fault, risk, or event.
KARVIA does not provide mechanical repair services, does not act as an insurer, does not issue expert reports, and does not warrant the physical or mechanical condition of vehicles.
If the Platform allows contact with independent workshops, parts suppliers, lenders, or other providers, those parties are responsible for the goods and services they provide. Unless expressly stated otherwise, KARVIA is not a party to contracts made directly between the Customer and those third parties.
To the maximum extent permitted by applicable law, KARVIA is not liable for indirect, incidental, special, or consequential damages arising from use of the Platform, nor for failures directly attributable to third-party services or systems.
If a Specific Contract exists, service levels and particular liability limits are governed by that instrument. This does not limit non-waivable consumer rights.
9. Cancellation, suspension, and termination
The Customer may cancel subscriptions through the mechanisms KARVIA enables. For consumers, cancellation is processed immediately and prevents new charges. Access to a period already paid may continue until it ends, unless the Customer requests immediate deactivation or the law requires otherwise.
KARVIA may suspend or limit access when there is a security risk, unauthorized use, unlawful activity, material breach of these Terms, or non-payment.
When the Service ends, the right to use the corresponding features ends. If the Customer holds Devices owned by KARVIA, the Customer must return them under the applicable conditions. That obligation does not apply to hardware the Customer purchased.
If a Specific Contract exists, termination of the commercial relationship is also subject to that instrument.
10. Data and privacy
Processing of personal data related to the Services follows KARVIA’s Comprehensive Privacy Notice, available at karvia.mx/privacy.
If the Customer uploads personal data or third-party information to the Platform, the Customer is responsible for having the authority, notices, legal bases, and consents that apply.
When KARVIA processes personal data on behalf of an enterprise customer as a processor (Persona Encargada), that processing is also subject to the applicable contractual instrument.
KARVIA may use statistical, aggregated, or effectively de-identified information for security, analysis, operation, development, and improvement of its Services, provided it does not identify a natural person or the Customer.
11. Changes
KARVIA may update these Terms to reflect legal, technological, operational, or Service changes.
The current version will be published at karvia.mx/terms (and karvia.mx/en/terms for this translation). When a change is material and affects rights or obligations under ongoing Services, KARVIA will give prior notice.
Changes will not retroactively affect rights or obligations already accrued, and will not change economic conditions of a period already contracted without the acceptance required when that acceptance is necessary.
12. Governing law and venue
These Terms are governed by the applicable laws of the United Mexican States.
If the Customer is a consumer, the Customer retains the rights and remedies that apply under applicable law.
In non-consumer relationships, and unless a Specific Contract provides otherwise, the parties submit to the competent courts of Mexico City, waiving any other venue that might apply by reason of present or future domicile.
